Terms of service

FDE-Jobs.com (the "Service", "Site", "we", "us", "our") is operated by StartShop Inc, a Texas corporation with its principal place of business at 3723 Greenville Ave STE 61917, Dallas, TX 75206, United States. References to "Lovable Cloud" or our backend infrastructure refer to services we use to deliver the Site; you contract solely with StartShop Inc.

By creating an account, signing in, submitting an application, posting a role, or otherwise using the Service, you agree to these Terms of Service (the "Terms") and to our Privacy Policy and Cookie Policy. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company, you represent that you are authorized to bind that company, and "you" refers to that company.

• You must be at least 18 years old.
• You must be legally able to enter binding contracts in your jurisdiction.
• Engineers must accurately represent their work authorization status (e.g., US citizen, Green Card, H-1B, OPT, EAD, or non-US-based remote eligibility).
• Companies must be lawfully formed legal entities. We do not knowingly support sanctioned parties or sanctioned jurisdictions.

• You are responsible for the accuracy of all information you submit.
• You are responsible for safeguarding your credentials and for all activity under your account.
• Notify us immediately at security@fde-jobs.com of any unauthorized use.
• We may suspend or terminate accounts that violate these Terms, applicable law, or that we reasonably believe pose a risk to the Service or other users.

FDE-Jobs.com is a marketplace and matching platform connecting Forward Deployed Engineers ("Engineers") with companies seeking to engage them ("Companies"). We provide tooling for profiles, scoping, AI-assisted interviewing, matching, agreements, timesheets, invoicing, and compliance workflows.

We are not the employer of any Engineer, are not a party to the underlying placement contract between Engineer and Company, and do not guarantee any specific placement, rate, duration, performance, or outcome. Where we facilitate payments or invoicing, we act as a payments facilitator and/or paying agent under the terms of the applicable placement agreement — not as an employer of record unless explicitly stated in a separate signed agreement.

• Each engagement is governed by a placement agreement and/or per-assignment statement of work signed between the Company and the Engineer (and, where applicable, StartShop Inc).
• Day rates, fee splits, payment terms, and notice periods are defined in that placement agreement.
• Standard payment terms are net 15 days from approved timesheet unless otherwise agreed in writing.
• StartShop Inc charges a platform fee disclosed before the placement is signed. Fees are non-refundable once an Engineer has begun billable work, except as required by law.
• Taxes (sales, use, VAT, withholding, self-employment) are the responsibility of the party legally obligated to pay them.

You agree not to:

• Submit false, misleading, or impersonated information.
• Circumvent the Service by contracting directly with a counterparty introduced through FDE-Jobs.com within 12 months of introduction, unless you pay the agreed introduction or platform fee.
• Scrape, reverse-engineer, or programmatically harvest profiles, roles, interview content, or any other data without our written permission.
• Use the Service to discriminate against any protected class under applicable law.
• Upload malware, attempt to gain unauthorized access, or disrupt the Service.
• Use the Service for any unlawful purpose, including violating export controls or sanctions.

The Service includes AI-assisted scoping and interviewing (including video interviews, transcripts, and AI-generated summaries). By using these features you consent to recording and processing of your audio, video, and transcript content for the purposes described in our Privacy Policy. AI outputs are assistive and may contain errors; humans make all final hiring decisions.

• The Service, including the FDE-Jobs.com brand, code, and content we create, is owned by StartShop Inc and protected by intellectual property laws.
• You retain ownership of content you submit (profile, résumé, role descriptions, interview answers). You grant StartShop Inc a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit that content as needed to operate, improve, and promote the Service.
• IP created during an engagement between an Engineer and a Company is governed by the placement agreement and applicable statement of work — not by these Terms.

Information shared during scoping, interviews, or an active placement may be confidential. You agree to use such information only to evaluate and perform the engagement and to protect it with reasonable care. Specific obligations in a signed NDA or placement agreement control over this section.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY ENGINEER OR COMPANY WILL MEET YOUR EXPECTATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTSHOP INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID TO STARTSHOP INC IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $500.

You agree to defend, indemnify, and hold harmless StartShop Inc and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) your performance or non-performance under any placement agreement.

You may close your account at any time from your account settings. We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms or for any conduct we reasonably believe is harmful. Sections that by their nature should survive termination (IP, disclaimers, limitation of liability, indemnification, governing law) will survive.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration is the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction there.

Binding arbitration. Except for claims that may be brought in small-claims court, you and StartShop Inc agree that any dispute will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Dallas, Texas. You and StartShop Inc waive any right to a jury trial and to participate in a class or representative action. You may opt out of this arbitration agreement by emailing legal@fde-jobs.com within 30 days of first accepting these Terms.

We may update these Terms from time to time. Material changes will be notified by email or in-product notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
